1. Acceptance of Terms
By accessing VorixMedia's website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you ("Client") and VorixMedia ("Company," "we," "us," or "our"). If you do not agree to these terms, you must immediately cease use of our services.
2. Services Provided
VorixMedia specializes in digital marketing, social media management, content creation, branding, web development, AI integration, and automation services. Service scope, deliverables, timeline, and pricing are detailed in individual service agreements. We reserve the right to modify service offerings and adjust processes to deliver optimal results. All services are provided on a professional basis consistent with industry standards.
3. Client Responsibilities and Obligations
Clients must provide accurate, complete, and timely information required for service delivery. This includes brand assets, login credentials, feedback on deliverables, and approval of final work product. Clients are responsible for ensuring all materials provided to us do not infringe on third-party rights. Failure to provide necessary information or feedback may result in project delays or additional fees. Clients must review and approve all deliverables within the timeframe specified in the service agreement.
4. Payment Terms and Conditions
Payment terms are specified in individual service agreements. Standard payment methods include credit card, ACH transfer, or wire transfer. Invoices are due upon receipt unless otherwise stated. Late payments beyond 15 days will incur a 1.5% monthly interest charge. Services may be suspended for accounts 30+ days past due. All fees are quoted in USD and are non-refundable except as required by law or specifically stated in writing. Chargebacks or payment disputes must be raised within 30 days of service completion.
5. Intellectual Property Rights
Upon full payment, clients receive ownership of final deliverables created specifically for them. This includes designs, content, and creative work product. VorixMedia retains ownership of all proprietary processes, tools, methodologies, templates, and frameworks. We reserve the right to showcase completed work in our portfolio, case studies, and marketing materials unless a non-disclosure agreement specifies otherwise. Pre-existing materials, stock assets, and third-party licensed content remain the property of their respective owners.
6. Confidentiality and Non-Disclosure
Both parties agree to maintain confidentiality of all proprietary information, trade secrets, client data, and business strategies disclosed during the engagement. Confidential information may not be shared with third parties without written consent, except as required by law or necessary for service delivery using approved vendors. This obligation survives termination of services.
7. Service Level and Performance
While we strive for exceptional results, VorixMedia does not guarantee specific outcomes such as follower growth, revenue increases, or ranking improvements. Digital marketing results vary based on numerous factors including industry, competition, budget, and market conditions. We commit to delivering services with professional care and industry best practices. Performance metrics and KPIs will be discussed and established in service agreements.
8. Content and Materials
Clients grant VorixMedia a non-exclusive license to use provided materials for service delivery. We may modify, adapt, and optimize content as needed to achieve project goals. Clients warrant that all materials provided do not violate copyright, trademark, or other intellectual property rights. VorixMedia is not responsible for verifying the legality or rights status of client-provided materials.
9. Account Access and Security
When clients provide access to social media accounts, analytics platforms, or other third-party services, they remain responsible for account security. Clients should enable two-factor authentication and use strong passwords. VorixMedia will not share account credentials with unauthorized parties. We are not liable for security breaches or unauthorized access to accounts provided to us.
10. Service Modifications and Updates
We reserve the right to modify services, pricing, features, and these terms with 30 days advance notice to active clients. Notice will be provided via email or account dashboard. Continued use of services after modifications take effect constitutes acceptance of changes. Material changes affecting existing contracts will be communicated directly.
11. Limitation of Liability
VorixMedia's total liability for any claims arising from services is limited to the total amount paid by the client in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, punitive, or special damages including lost profits, lost revenue, or lost data. This limitation applies regardless of the legal theory and whether we were advised of the possibility of such damages.
12. Indemnification
Clients agree to indemnify and hold harmless VorixMedia, its officers, employees, and contractors from any claims, damages, losses, or expenses (including attorney fees) arising from: (a) client's breach of these terms, (b) client-provided materials that infringe third-party rights, or (c) client's use of deliverables in violation of law or third-party rights.
13. Termination Rights
Either party may terminate services with 30 days written notice. VorixMedia may terminate immediately for non-payment, breach of terms, or illegal activity. Upon termination, clients must pay for all work completed through the termination date. Clients will receive deliverables for work paid in full. Recurring service subscriptions may be cancelled with notice per the subscription terms.
14. Dispute Resolution and Arbitration
Any disputes will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes must be settled through binding arbitration in accordance with the American Arbitration Association rules. The arbitration will be conducted in the United States. Each party bears its own arbitration costs unless otherwise awarded by the arbitrator. Class action lawsuits are waived.
15. Third-Party Services and Platforms
We may use third-party tools, platforms, and service providers to deliver services. These include but are not limited to social media platforms, analytics tools, email services, hosting providers, and payment processors. Clients are responsible for complying with the terms of service of any third-party platforms we access on their behalf. We are not responsible for third-party service outages, policy changes, or terminations.
16. Force Majeure
VorixMedia is not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, strikes, internet outages, or other force majeure events. In such cases, deadlines will be extended by a reasonable period.
17. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms continue in full force and effect.
18. Entire Agreement
These Terms of Service, along with any service agreements and statements of work, constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements regarding the subject matter.
